The New Zealand Association for Training and Development Incorporated hereby gives notice of the 2026 Annual General Meeting.

This is a virtual meeting. The Microsoft Teams joining details will be included in the registration confirmation and reminder emails.

The AGM papers will be available on the AGM Information page under My NZATD on the NZATD website before the meeting.

5. President’s Report for 2026
6. Financial Report for the year ended 31 March 2026
   • Annual Financial Statements and Performance Report
   • Treasurer’s Report
   • Current-year approved budget
   • Current financial position update
7. Notice of interests disclosed by Officers during the reporting period
8. National Executive for 2026/27, including confirmation of representatives nominated by the Regional Branches
9. Special Resolution: constitutional amendments required by Inland Revenue
10. General business properly notified in accordance with the Constitution
11. Closing whakataukī and close of AGM

SPECIAL RESOLUTION

Members will be asked to consider amendments to the NZATD Constitution requested by Inland Revenue. The proposed changes:

• remove the provision allowing benefits to Members or their families to alleviate hardship; and
• add a new clause preventing future rule changes that would allow personal financial gain.

The full wording and background are provided in the Constitution Amendment Resolution 2026, which will be available with the AGM papers.

VOTING AND PROXIES

• Only current financial members are entitled to attend, speak and vote at the AGM.
• Each eligible member has one vote.
• Members may vote online during the meeting.
• Members unable to attend may appoint an eligible attendee as their proxy.
• A completed and signed Proxy Form must be received by NZATD before the AGM begins.

Completed Proxy Forms should be emailed to nzatd@nzatd.org.nz.

MEMBER MOTIONS

A member wishing to submit a motion for consideration at the AGM must provide written notice to the National Executive at least 10 Working Days before the meeting.

The notice should include:

• the wording of the proposed motion;
• the reason for the motion; and
• the name of the member submitting it.

AGM PAPERS

The AGM papers will include:

• the AGM Agenda;
• the draft minutes of the 2025 AGM;
• the President’s Report;
• the financial reports and annual financial statements;
• the summary of Officer interest disclosures;
• the Regional Branch nominations to the National Executive;
• the Constitution Amendment Resolution 2026; and
• the 2026 AGM Proxy Form.
